Terms of Service

1. Acceptance of Terms
By accessing or using the Smart FSM platform at smart-fsm.com (the "Service"), operated by Smart FSM ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Smart FSM is a cloud-based field service management platform that provides:
- Work order creation, scheduling, and assignment management.
- Real-time GPS tracking of field workers during active work sessions.
- QR code-based location verification and check-in/check-out.
- Inventory and equipment tracking.
- Invoicing, quoting, and payment management.
- Checklists, workflow management, and custom forms.
- In-app messaging and push notifications.
- Reporting, analytics, and SLA tracking.
- Customer portal access for clients.
- Progressive Web App (PWA) with offline capabilities.
3. Account Registration and Security
To use the Service, you must create an account or be invited by an organization administrator. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and account credentials.
- Immediately notify us of any unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.
4. User Roles and Responsibilities
The Service supports multiple user roles with different access levels:
- Super Admin: Full platform management, including company and user administration.
- Admin: Company-level management of workers, schedules, objects, clients, invoices, and reports.
- Worker: Access to assigned tasks, work sessions, QR scanning, checklists, and time tracking.
- Client: View work status, reports, invoices, and submit service requests.
Each user is responsible for using the Service within the scope of their assigned role and must not attempt to access unauthorized features or data.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or transmit malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to other accounts, systems, or data.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for surveillance or monitoring purposes beyond its intended field service management functionality.
- Scrape, harvest, or collect data from the Service through automated means without authorization.
- Impersonate any person or entity or misrepresent your affiliation.
- Use the Service in a way that could damage, disable, or impair the Service.
6. Data Ownership and Intellectual Property
You retain ownership of all data, content, and materials you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to process, store, and display Your Data solely for the purpose of providing the Service.
- The Smart FSM platform, including its code, design, logos, and documentation, is our intellectual property and is protected by copyright and trademark laws.
- You may not copy, modify, distribute, or create derivative works based on our platform without written consent.
- We do not claim ownership of Your Data and will not use it for purposes other than providing and improving the Service.
7. Location Tracking Consent
The Service includes GPS-based location tracking for field workers during active work sessions. By using the worker features of the Service:
- You consent to the collection and processing of your location data during active work sessions.
- You understand that your employer/administrator can view your location during work hours.
- Location tracking is limited to active work sessions and does not continue outside of designated work activities.
- You may review when location tracking is active through the app interface.
8. Service Availability and Modifications
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to:
- Modify, update, or discontinue features of the Service with reasonable notice.
- Perform scheduled maintenance that may temporarily affect availability.
- Suspend access in case of security concerns or Terms violations.
We will make reasonable efforts to notify users of significant changes or planned downtime in advance.
9. Payment and Billing
Smart FSM operates on a custom pricing model. Pricing is determined based on your organization's size, industry, feature requirements, and support needs. Payment terms will be agreed upon in a separate service agreement. Failure to pay may result in suspension or termination of your access to the Service.
10. Termination
Either party may terminate the use of the Service:
- You may close your account at any time by contacting us.
- We may suspend or terminate your access for violation of these Terms, non-payment, or any other reason with reasonable notice.
- Upon termination, your right to use the Service ceases immediately.
- We will provide a reasonable period (30 days) for you to export Your Data after termination, unless termination is due to Terms violations.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be error-free, secure, or available at all times.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.
- Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Smart FSM, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia. Any disputes arising from or related to these Terms or the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts in Belgrade, Serbia.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you disagree with the updated Terms, you should discontinue use of the Service.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
